An oil and gas lease grants defined development rights under its executed terms, not ownership of all minerals. Verify mineral title, royalty and deduction provisions, primary and secondary terms, shut-in and pooling clauses, and recorded amendments before relying on a lease summary.

What the lease grants

Identify the named lessor and lessee, legal description, mineral fraction, depths and substances covered, effective date, primary term, rental/paid-up provisions and the rights to drill, assign, pool, use surface and conduct operations. A lease of privately owned Wyoming fee minerals differs from a federal or state lease, and owner-facing explanations must separate those regimes.

Bonus, royalty and actual price calculation

The signing bonus is usually a one-time payment tied to the negotiated acreage or stated interests. Continuing royalty depends on the written fraction, product volume, price or valuation terms, and applicable contract and statutory treatment of costs, taxes and adjustments. Review royalty valuation and sale-point clauses, marketing deductions, affiliate sales and the payor’s information duties; do not equate a high bonus with a good lifetime deal.

Continuation and termination clauses

Examine the primary term; production in paying quantities; shut-in provisions; cessation-of-production clauses; force majeure; continuous drilling or development; and retained-acreage and depth-release provisions. The timing of one workover or well can affect whether the lease continues on other land or depths, depending on the agreed text and governing law.

Pooling, unitization and agency orders

A lease pooling clause is a private delegation of authority; Wyoming spacing and pooling orders are administrative actions under conservation statutes; and federal units and communitization agreements are separate approvals. Verify all actual unit exhibits and depths. Do not assume the operator’s well name or surface pad identifies how every tract’s proceeds must be divided.

Surface access and environmental responsibilities

For a split estate, identify who may grant a surface-use agreement, access routes, timing and notice, damages, roads, pits, water, restoration and indemnities. Wyoming surface-damage statutes can apply independently of a printed mineral lease. A mineral owner’s broad surface-access language should not be treated as extinguishing the surface owner’s separate statutory protections.

Owner negotiation checklist

Confirm net mineral acres and title; obtain the entire proposed lease and exhibits; compare multiple written offers when practical; negotiate royalty valuation, depth and retained-acreage terms, reasonable surface protections and assignment notices; obtain independent legal review of unusual provisions; and keep the executed lease with proof of bonus payment. Never sign a blank form or assume a verbal promise will be enforceable.

Federal lease distinctions and current policy

BLM administers federal oil and gas leasing under different authority and procedures. BLM Instruction Memorandum 2026-018, issued May 12, 2026, addresses federal leasing processes and rates following 2025 legislation. It is agency operating guidance, not a rewrite of an existing private Wyoming fee lease. Examine the actual federal lease, applicable regulations and issue date before applying any federal royalty rate.

Sources and scope

This guide provides general education. Verify effective dates and the application of authorities to the particular facts. Consult the linked official sources and the original deeds, leases, orders and other records before acting. Browsing this guide or sending an inquiry does not create a professional engagement; services require a separate written agreement.

Lease verification: Confirm ownership, royalty provisions, lease term, pooling consent, and recorded amendments against the executed instruments.
